Fund wrapper: retail fund vs. special AIF
The fund wrapper is the legal shell in which investors invest collectively; retail funds (UCITS) are open to everyone, special AIFs only to professional and semi-professional investors.
Explained simply
A fund is a separate pool of assets: a management company manages it, an independent depositary controls it, and BaFin supervises both. The assets are segregated from the company's own assets.
Retail funds under the UCITS directive may be distributed to anyone. In return, strict limits apply to diversification and eligible investments. Direct investments in cryptocurrencies are not permitted for UCITS in Germany, but shares of companies in the blockchain and AI ecosystem are, as are, to a limited extent, eligible securities on digital assets.
Special AIFs (alternative investment funds) are aimed exclusively at professional and semi-professional investors. They have more freedom, for example for direct investments in crypto-assets, but may not be advertised publicly.
From the familiar world
A restaurant with a public dining room and a private club: the dining room (retail fund) is open to all and subject to strict rules. The private club (special AIF) is only for members who know what they are getting into, and may not be advertised on the street.
An example
A UCITS thematic fund can invest in shares of companies providing blockchain infrastructure or AI computing. A special AIF, by contrast, can hold Bitcoin and other crypto-assets directly but is open only to professional investors.
Why it matters
The distinction is central for advisers: it decides which product may be offered to which client at all. Explaining it cleanly demonstrates compliance competence. Note: fund investments are subject to price fluctuations and can lead to losses.
To pass on
„Retail funds are the dining room: for everyone, with strict rules. Special AIFs are the private club: professionals only, with more freedom in return.“
